Terms of Service

1. Purpose and Scope

These Terms of Service govern the general conditions of engagement and use of services offered by Blue Mountain Asesores, SLU (hereinafter "abemon"), with Tax ID (CIF) B42985432 and registered address at Paseo de la Castellana 40, Planta 8, 28046 Madrid, Spain.

These terms apply to all technology consulting, software development, managed services and digital solutions offered through the website abemon.es and through direct engagement.

2. Description of Services

abemon offers the following professional services:

  • Technology consulting and digital strategy
  • Custom software development
  • Artificial intelligence and machine learning
  • Data engineering
  • Cloud and DevOps
  • Managed services and ongoing support
  • Proprietary solutions: abemonFLOW™, abemonVOICE™, abemonTRANSPORT™, abemonCUSTOMS™

The specific features, scope, timelines and pricing of each service are defined in the individual quote or commercial proposal agreed between the parties.

3. Terms of Engagement

Service engagement is formalized through acceptance of the quote or commercial proposal issued by abemon. Such acceptance may be provided in writing, via email or through digital signature.

Prices shown do not include applicable taxes (VAT/IGIC) unless expressly stated. Payment terms are specified in each commercial proposal.

abemon reserves the right to modify its service rates, notifying the client with a minimum of 30 days' advance notice.

4. Intellectual Property

abemon® is a registered trademark of Blue Mountain Asesores, SLU. abemonFLOW™, abemonVOICE™, abemonTRANSPORT™ and abemonCUSTOMS™ are trademarks of Blue Mountain Asesores, SLU.

Unless otherwise agreed in the commercial proposal:

  • Custom source code developed for the client shall be owned by the client upon full payment
  • abemon's proprietary libraries, frameworks and components used in development remain the property of abemon, with the client being granted a perpetual, non-exclusive licence to use them
  • Proprietary solutions (abemonFLOW, abemonVOICE, abemonTRANSPORT, abemonCUSTOMS) are offered under a usage licence, not as a transfer of ownership

5. Limitation of Liability

abemon commits to delivering services with professional diligence and in accordance with industry standards.

abemon's total liability to the client for any claim arising from the provision of services shall be limited to the amount effectively paid by the client in the preceding 12 months for the service in question.

abemon shall not be liable for indirect damages, loss of profits, data loss or business interruptions, except in cases of wilful misconduct or gross negligence.

6. Right of Withdrawal

These Terms govern the provision of professional consulting and software development services in a B2B (business-to-business) context. In the event that a consumer or end user contracts services directly, the withdrawal rights provided for in Royal Legislative Decree 1/2007 (TRLGDCU) shall apply for a period of 14 calendar days from the date of engagement, unless the performance of the service has begun with the consumer's express consent and acknowledgement that they lose their right of withdrawal.

7. Data Protection

The processing of personal data in the context of service delivery is governed by our Privacy Policy and, where applicable, by the data processing agreement formalized between the parties.

8. Amendments

abemon reserves the right to amend these Terms of Service. Amendments will be published on this page with the corresponding update date. For services already contracted, amendments will be communicated to the client with a minimum of 30 days' advance notice.

9. Applicable Law and Jurisdiction

These Terms of Service are governed by Spanish law. For the resolution of any dispute arising from the interpretation or application of these terms, the parties submit to the courts and tribunals of Madrid, Spain, with express waiver of any other jurisdiction that may apply.
